Case Allegations:

The lawsuit alleges that DNOW’s Proxy Materials issued in connection with its acquisition of MRC Global Inc. contained materially false and misleading statements and omitted critical operational risks.

Specifically, Proxy Materials allegedly failed to disclose:

  • Severe operational integration challenges stemming from critical defects in MRC Global’s newly implemented Enterprise Resource Planning (ERP) software system.

  • Material disruption to inventory tracking, order fulfillment, and financial forecasting prior to the merger approval.

  • Artificially inflated valuation assumptions for the combined entity presented to voting shareholders.

When the truth regarding the ERP software implementation failures and reduced financial guidance was revealed, DNOW stock plummeted.

What Affected DNOW Shareholders Can Do

Shareholders who were eligible to vote on the merger and suffered financial losses have until October 2, 2026 to petition the Court to serve as Lead Plaintiff. A Lead Plaintiff represents the broader class in directing litigation strategy. Click here to learn more about options to recover losses.
